d) Corporate purpose

3.1. The company's purpose is the development, production and marketing of innovative products or services with high technological value, and more specifically: primarily, the development, production and marketing of an innovative university and career guidance service. This service is innovative in that it is a "future planner", allowing users to set future goals based on information drawn directly from the market, and it has high technological value in that it uses an innovative framework through which a proprietary algorithm has been developed to process labour-market information and make it more accessible to its target users.

3.2. In addition, also on a primary basis, subject to obtaining any licences or authorisations that may be required under applicable law from time to time, the company's purpose includes the following activities: a personnel search and selection agency as referred to in Article 5, paragraphs 1 and 5, of Legislative Decree No. 276/2003, as amended, i.e. management consulting activity aimed at resolving a specific need of the client organisation by identifying candidates suited to fill one or more positions within that organisation, on its specific instruction, and comprising: analysis of the client organisation's context and identification and definition of its needs; definition of the ideal candidate's profile of skills and abilities; planning and carrying out a candidate search programme through multiple recruitment channels; assessment of identified candidates using appropriate selection tools; drawing up a shortlist of the most suitable candidates; designing and delivering training activities aimed at employment placement; assistance during candidates' onboarding; monitoring and evaluating the placement and potential of candidates; and a professional outplacement support agency as referred to in Article 5, paragraphs 1 and 6, of Legislative Decree No. 276/2003, as amended, i.e. activity carried out on the specific and exclusive instruction of the client organisation, including on the basis of trade union agreements, aimed at repositioning workers in the labour market, individually or collectively, through preparation, training aimed at employment placement, personal support, and assistance in settling into the new role.

3.3. The company may also carry out the following activities, secondary to its primary purpose: education, job boarding and a feedback tool. Specifically: Education — the algorithm will suggest e-learning, mentoring and coaching services by matching each user's skills and interests with their goals. Job boarding — each user may browse and apply for open positions on the market; the algorithm only allows an application to be submitted where the match between the user's profile and the required criteria is genuine and verified. Feedback tool — each user may review their educational and work experience; the human element is the key differentiator and source of value in personal and professional choices. All of the above provided that the company's activity is not aimed at labour-market placement services and remains within the limits set by law.

3.4. The company may carry out, provided this is not its primary activity, all movable, real-estate, commercial, industrial and financial transactions (the latter not directed at the public) considered by its management to be necessary or useful for achieving the corporate purpose; it may also take out loans and financing of any kind and provide sureties and guarantees, including in rem guarantees, in favour of third parties, provided such transactions are not carried out with the public or on a primary basis.

e) Description of the activity carried out, including research, development and innovation activity and expenditure

Primary activity: creation and development of a mobile application and website aimed at introducing an innovative method of labour-market guidance. The platform brings together different players — companies, institutions, students and workers — connected by direct links. The algorithm allows users to process information from companies and universities and to plan an educational path leading to entry into the labour market. ATECO code 62.10.00 — computer programming activities.

Research, development and innovation activity. The company was founded with a mission of high-tech university and career guidance: a future planner able to process labour-market information and make it accessible to users, through a proprietary algorithm and a platform populated by companies, institutions, students and workers. Its social purpose is a founding part of the project: reducing youth unemployment by building a bridge between students and companies, clarifying company requirements, and offering guidance, mentoring and e-learning tools to increase awareness and employability. This trajectory has today evolved into StepsConnect, the modular, cloud-native recruitment management platform (ATS) that channels that mission into modern selection processes: the platform facilitates matching between supply and demand, integrating with the main HR ecosystems and with sourcing partners, so as to bring opportunities to where candidates actually are. For the weaker side of the market — students, university students, school leavers and early-career workers — access is made simple and inclusive: mobile, conversational applications, chatbot pre-screening, transparent feedback and status updates, and a direct transition to onboarding once a placement is confirmed.

Research, development and innovation expenditure: EUR 179,208.00, as shown in the financial statements as at 31/12/2024, exceeding 3% of the greater of cost and total value of production. Requirement under Article 4, paragraph 1, letter e), no. 1, of Decree-Law No. 3/2015.

  • Anton Morale — shareholder, technology & product. IT consultant with a background at Consoft, experienced in software development, integrations and application architecture. Role in the company: technical leadership on product, software quality and application security, and coordination of technology suppliers.
  • Nicolò Caruzzo — shareholder, operations & delivery. Experience in consulting, auditing and operations roles within structured companies; expertise in processes, supply and operations, KPIs and continuous improvement. Role in the company: responsibility for operations, project delivery and customer success.
